1. Agreement to Terms

By accessing or using OMEISSA (“the Platform,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Platform.

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

2. Eligibility

To use OMEISSA, you must:

• Be at least 13 years old (or the minimum age required in your jurisdiction)
• If you are under 18, have parental or guardian consent to use the Platform
• Have the legal capacity to enter into a binding agreement
• Not have been previously suspended or banned from the Platform

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or for any reason at our discretion.

4. Stars and Virtual Currency

4.1 Purchase and Use

“Stars” are virtual items that can be purchased and used within the Platform. By purchasing Stars, you agree that:

• Stars have no real-world monetary value outside the Platform
• Stars cannot be exchanged for cash or transferred outside the Platform
• All purchases are final and non-refundable except as required by law
• We may modify Star pricing, features, or availability at any time

4.2 Star Distribution

When you purchase Stars:

• 20% is allocated to charitable organizations through the Platform
• 60% goes to the creator you support
• 20% is retained by OMEISSA as a platform fee

4.3 Creator Earnings

Creators may earn Stars from supporters. Earnings are subject to:

• Minimum payout thresholds
• Verification requirements
• Tax reporting obligations (creators are responsible for their own taxes)
• Our payment processing timelines

5. Charitable Donations

A portion of Star purchases is directed to charitable organizations. You acknowledge that:

• OMEISSA selects and vets partner charities but does not control their operations
• Tax deductibility of donations depends on your jurisdiction and circumstances
• We provide donation receipts where applicable, but you should consult a tax professional
• Charity allocations may change based on creator selections and platform policies

6. User Content

6.1 Your Content

You retain ownership of content you create and post on OMEISSA. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display your content in connection with operating the Platform.

6.2 Content Responsibilities

You are solely responsible for your content. You agree not to post content that:

• Violates any law or regulation
• Infringes intellectual property rights of others
• Contains hate speech, harassment, or threats
• Is sexually explicit or pornographic
• Promotes violence or illegal activities
• Contains malware, spam, or deceptive content
• Impersonates another person or entity
• Violates the privacy or rights of others

6.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice. We are not obligated to store or maintain any content.

7. Creator Responsibilities

If you are a creator on OMEISSA, you additionally agree to:

• Create original content or have the rights to share content you post
• Fulfill any promises or benefits offered to your supporters
• Respond reasonably to supporter inquiries
• Comply with all applicable laws regarding content creation and monetization
• Report earnings and pay applicable taxes in your jurisdiction
• Not engage in fraudulent or deceptive practices

8. Fan Pages

Fan Pages are community-created pages dedicated to public figures, teams, or entities. By creating or participating in Fan Pages:

• You acknowledge that Fan Pages are fan-operated and not officially affiliated with the subject
• All proceeds from Fan Page memberships go to designated charities (minus platform fees)
• You will not misrepresent the official status of a Fan Page
• We may transfer Fan Page ownership to official representatives upon verification

9. Prohibited Activities

You agree not to:

• Use the Platform for any illegal purpose
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Platform or servers
• Use bots, scrapers, or automated tools without permission
• Create multiple accounts for abusive purposes
• Engage in any form of market manipulation or fraud
• Circumvent any technological measures we use to protect the Platform
• Use the Platform to distribute malware or phishing content

10. Intellectual Property

The Platform, including its design, features, and content created by OMEISSA, is protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our proprietary content
• Use our trademarks without written permission
• Reverse engineer or attempt to extract source code
• Create derivative works based on the Platform

11. Third-Party Services

The Platform may integrate with or link to third-party services (e.g., payment processors, social media). We are not responsible for third-party content, policies, or practices. Your use of third-party services is subject to their terms and privacy policies.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or secure. You use the Platform at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMEISSA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless OMEISSA and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your content

15. Dispute Resolution

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may assert individual claims in small claims court if eligible.

Class Action Waiver: You agree that any disputes will be resolved on an individual basis and not as part of a class, consolidated, or representative action.

16. Termination

We may terminate or suspend your account and access to the Platform at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Platform will immediately cease
• Any unused Stars may be forfeited
• Provisions that by their nature should survive will remain in effect

You may delete your account at any time through your account settings.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
