Terms of Service

1. Agreement to Terms

By accessing or using OMEISSA (“the Platform,” “we,” “our,” or “us”), you agree to these Terms of Service (“Terms”). If you do not agree, you may not use the Platform.

We may update these Terms from time to time. Continued use of the Platform after updated Terms are posted means you accept the updated Terms.

2. Eligibility

OMEISSA is intended for users who are at least 18 years old. By using the Platform, you represent that you are at least 18, have the legal capacity to enter into these Terms, and have not been suspended or banned from the Platform.

3. Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Keep your account information updated
  • Keep your password and sign-in methods secure
  • Accept responsibility for activity under your account
  • Tell us promptly about unauthorized account access

We may suspend or terminate accounts that violate these Terms, create risk for OMEISSA or other users, or cannot be verified.

4. Stars and Purchases

4.1 Purchase and Use

Stars are virtual items used within OMEISSA to support creators and participate in Platform features. By purchasing Stars, you agree that:

  • Stars have no cash value outside OMEISSA
  • Stars cannot be exchanged for cash or transferred outside the Platform
  • All sales are final and non-refundable except where required by law
  • OMEISSA currently does not provide an automated refund handler
  • We may change Star pricing, bundles, availability, or features at any time

4.2 Star Distribution

When you purchase Stars, the current allocation is:

  • 60% to the creator you support, minus Stripe fees
  • 20% to charity through the Platform's charity disbursement process
  • 20% retained by OMEISSA as a platform fee

Stripe handles payment card processing. Stripe's terms and privacy practices apply to payment processing.

4.3 Disputes and Chargebacks

If a payment is disputed, charged back, reversed, or refunded where required by law, we may reverse related Stars, adjust account balances, pause creator payouts, offset future payouts, or take other steps needed to reconcile Platform records. We may suspend accounts involved in payment fraud, abuse, or excessive disputes.

5. Creator Payouts

Creators may earn payouts from supporter activity. Creator payouts are handled through Stripe Connect Express and are subject to:

  • Stripe Connect onboarding, identity verification, account status, and payout requirements
  • Minimum payout thresholds and Platform payout timing
  • Stripe fees, chargebacks, disputes, reversals, refunds required by law, and negative balances
  • Tax reporting obligations, which creators are responsible for unless the law requires otherwise
  • Fraud, abuse, sanctions, legal, or safety reviews

If a creator's Stripe Connect account is disabled, restricted, under review, closed, or otherwise unable to receive funds mid-payout, OMEISSA may pause the payout, hold the balance while the issue is reviewed, reverse or offset affected amounts, ask the creator to fix Stripe requirements, or take another reasonable step allowed by Stripe and applicable law.

6. Charity Disbursements

OMEISSA is not a charity. The charity portion of Star activity is disbursed through Endaoment, a 501(c)(3) donor-advised fund provider. OMEISSA may choose, approve, or route charity allocations through Endaoment, but OMEISSA does not control the operations of recipient charities.

  • The tax deduction for charity disbursements goes to OMEISSA the entity, not to fans or creators
  • Fans and creators should not treat Star purchases as personal charitable donations
  • Charity timing, eligibility, and final recipient acceptance may depend on Endaoment and recipient charity rules
  • Charity allocations may change based on creator selections, fan page settings, Platform policy, or provider availability
  • You should talk to a tax professional about your own tax situation

7. User Content and Community Features

7.1 Your Content

You keep ownership of content you create and post on OMEISSA. By posting, uploading, sending, or submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, distribute, and use that content as needed to operate, improve, promote, protect, and provide the Platform.

7.2 DMs, Communities, and Reports

OMEISSA includes community features, DMs, comments, fan page activity, reports, and feedback tools. Messages may be visible to recipients, communities, creators, admins, or moderators depending on the feature. We may review messages, reports, and related account activity for safety, support, moderation, legal compliance, fraud prevention, and Platform operations.

7.3 Content Rules

You agree not to post, upload, send, or submit content that:

  • Violates any law or regulation
  • Infringes another person's intellectual property, privacy, publicity, or other rights
  • Contains hate speech, harassment, threats, or targeted abuse
  • Is sexually explicit or pornographic
  • Promotes violence, self-harm, exploitation, or illegal activity
  • Contains malware, spam, scams, phishing, or deceptive content
  • Impersonates another person or misrepresents affiliation
  • Attempts to manipulate payments, payouts, fan pages, or charity allocations

7.4 Content Removal

We may remove content, limit distribution, restrict features, suspend accounts, or terminate accounts if we believe content or activity violates these Terms or creates risk for OMEISSA, users, creators, charities, or service providers. We are not required to store or maintain content indefinitely.

8. Creator Responsibilities

If you are a creator on OMEISSA, you agree to:

  • Create original content or have the rights to share content you post
  • Fulfill any promises or benefits offered to supporters
  • Comply with applicable content, advertising, tax, payment, consumer protection, and charity-related laws
  • Keep Stripe Connect information accurate and complete
  • Respond reasonably to supporter or Platform inquiries
  • Avoid fraudulent, deceptive, abusive, or manipulative activity

9. Fan Pages

Fan Pages are community-created pages dedicated to public figures, creators, teams, brands, or entities. By creating or participating in Fan Pages:

  • You acknowledge that Fan Pages are fan-operated unless clearly marked as official
  • You will not misrepresent a Fan Page as official or endorsed
  • Fan Page proceeds may be routed to designated charities minus platform fees and provider fees
  • We may approve, reject, suspend, transfer, rename, or remove Fan Pages
  • We may transfer Fan Page ownership to verified official representatives

10. Prohibited Activities

You agree not to:

  • Use the Platform for any illegal purpose
  • Attempt to gain unauthorized access to accounts, systems, data, or payment records
  • Interfere with or disrupt the Platform, servers, webhooks, or providers
  • Use bots, scrapers, or automated tools without permission
  • Create multiple accounts for abusive, deceptive, or fraudulent purposes
  • Manipulate Stars, payments, payouts, charity allocations, fan pages, or platform metrics
  • Circumvent security, moderation, access, payout, or payment controls
  • Distribute malware, phishing, spam, scams, or deceptive content

11. Third-Party Services

OMEISSA depends on third-party services. Stripe handles card payments. Stripe Connect handles creator onboarding and payouts. Cloudflare R2 stores uploads. Resend sends email. Vercel hosts the site and provides analytics. Endaoment receives and processes charity disbursements. Sentry helps monitor errors. Sign-in providers such as Google, Apple, and Discord may be used for authentication.

We are not responsible for third-party services, content, terms, privacy policies, outages, review decisions, account restrictions, or processing timelines. Your use of third-party services may be subject to their terms and policies.

12. Intellectual Property

The Platform, including its design, features, software, branding, and OMEISSA-created content, is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Platform except as allowed by law or with our written permission.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMEISSA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, RELIABILITY, ACCURACY, AND SECURITY.

We do not promise that the Platform will be uninterrupted, error-free, secure, or available at any specific time. You use the Platform at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMEISSA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, PAYMENT DELAYS, OR PLATFORM UNAVAILABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMEISSA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS IS LIMITED TO THE FEES PAID BY YOU TO OMEISSA IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless OMEISSA and its officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising from:

  • Your use of the Platform
  • Your content or community activity
  • Your violation of these Terms
  • Your violation of any law or third-party right
  • Your payment, payout, tax, charity, or creator obligations

16. Dispute Resolution

Any dispute arising from these Terms or your use of the Platform will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may bring an individual claim in small claims court if eligible.

Class Action Waiver: You agree that disputes will be resolved only on an individual basis and not as part of a class, consolidated, collective, or representative action.

17. Termination

We may suspend or terminate your account or access to the Platform at any time if we believe you violated these Terms, created risk for OMEISSA or others, or used the Platform in a way that could harm users, creators, charities, service providers, or the Platform.

  • Your right to use the Platform will stop immediately
  • Unused Stars may be forfeited unless the law requires otherwise
  • Pending payouts may be reviewed, delayed, offset, reversed, or withheld where allowed by law
  • Sections that by their nature should survive will remain in effect

You may delete your account through account settings where available or by contacting us.

18. Governing Law and Forum

These Terms are governed by the laws of Connecticut, without regard to conflict-of-law rules. Subject to the arbitration section above, the state and federal courts located in Connecticut will have exclusive jurisdiction over disputes arising from these Terms or the Platform, and you consent to venue and personal jurisdiction there.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
